Risk Investigation Agent Licence

1. Parties, and business use

This licence is between Askara Solutions OÜ, an Estonian company, registry code 17233369, of Ahtri 12, Tallinn 15551, Estonia, and you, the purchaser.

You confirm that you are buying for business purposes and are not acting as a consumer. This matters because a consumer purchase carries rights that a business purchase does not, including the cancellation right dealt with in clause 7. If you are not buying in the course of a business, do not accept this licence; write to legal@askara.solutions instead.

2. Licence grant, and the version you buy

Askara Solutions grants you a non-exclusive, non-transferable licence to install and use the Risk Investigation Agent in your own environment, for your own internal governance, risk and compliance purposes.

The licence is perpetual for the version you buy. It does not expire, and there is nothing to renew. Later releases are not included: if a future version adds something you want, it is a separate purchase.

Your employees, contractors, advisers, auditors and certification body may use it in the course of working for you, on the same terms.

3. Restrictions on the agent

The agent is readable text, and it is the whole of what Askara Solutions sells. You may not share, publish or redistribute it, or its instruction and template content. You may not use it to build or operate anything competing with it. You may not remove proprietary notices.

You may configure and tailor it for your own internal use, and any configuration you make remains part of it.

These restrictions do not touch what you produce. Where something you produce contains wording drawn from the agent, your rights under clause 4 come first, and neither that nor any use or sharing of your own work permitted by clause 4 breaches this clause. What stays prohibited is passing on the agent as such, meaning in a form meant to be reused as a template, instruction set or generator, rather than your own completed documentation.

Nor do they restrict what a person carries in their own memory, or stop you describing your own management system, methodology or controls to an auditor, certification body, regulator or adviser, or showing them the agent itself in confidence where they need to see how something was produced.

4. Intellectual property, and what you produce

Askara Solutions owns the agent, its instruction and template content, the methodology within it, and all improvements to it.

What you produce using it is yours. You may use, modify, keep, publish, share and commercially exploit it without restriction, with no further fee and no permission from Askara Solutions, including sharing it with your auditor, certification body, regulator, customers, advisers or a replacement supplier. To the extent Askara Solutions holds or acquires any right in what you produce, it assigns that right to you.

5. Your data

Your work stays with you. There is no Askara Solutions tenant holding your registers, and nothing to migrate if you stop.

The agent contains no code, instruction or mechanism that transmits your input, your output, your credentials or your configuration to Askara Solutions. Its content is readable, so you can verify this before you deploy it.

Where data does go is worth stating plainly rather than leaving to inference. The agent runs on your own model provider subscription, so your prompts and what they produce reach that provider under your own agreement with them. Askara Solutions has no part in that and no access to it. What your provider does with what passes through your session is between you and them.

Askara Solutions therefore holds none of your compliance data and is not a processor of your personal data. What it does hold, as its own controller under its privacy notice, is your contact and purchase details.

6. Warranty, and the limit of liability

Askara Solutions warrants that the agent works materially as described on the product page at the date you buy it, and that it contains no third party copyright material other than under licence or as the law permits. If it does not, tell us at legal@askara.solutions and we will use reasonable efforts to fix, replace or work around it; if we cannot within a reasonable period, we will refund what you paid.

Beyond that warranty, no level of accuracy, completeness, fitness for a particular purpose or suitability of anything the agent produces is agreed or owed. The agent uses generative AI. Its output can be incomplete, inaccurate or unsuitable, and reviewing and approving it before you rely on it is your responsibility. That review is part of the bargain, not a disclaimer bolted onto it.

Askara Solutions is not your auditor or certification body, gives no guarantee of certification, and gives no legal advice. Nothing here is a representation about your obligations under any law that applies to you.

Askara Solutions is not liable for lost profit, lost savings, lost business opportunity, damage to goodwill or reputation, the cost of any audit or certification process, the loss of or failure to obtain any certification, or any fine or penalty imposed on you.

Total liability under this licence will not exceed the amount you paid for it. The price was set on that basis. Nothing in this clause limits liability for death or personal injury caused by negligence, for fraud, or for anything else Estonian law does not permit to be limited, including intentional or grossly negligent breach. Where local mandatory law would make any limit here unenforceable, it applies to the fullest extent that law allows rather than failing altogether.

7. Immediate delivery, and waiver of the right to withdraw

This is digital content, supplied immediately on payment rather than on a physical medium.

You ask for delivery to begin at once, and you acknowledge that once it has begun you lose any statutory right of withdrawal that would otherwise apply to a distance purchase of digital content. You accept that this is so.

Clause 1 records that you are buying for business purposes, in which case that statutory right does not arise. This clause is stated separately because the purchase is self-serve and the point should not rest on a single confirmation.

Nothing in this clause affects the warranty in clause 6, or any refund owed under it.

8. Governing law and jurisdiction

Estonian law governs this licence, excluding its conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods.

If a dispute arises, we will first try to resolve it by discussion. Failing that, it is finally settled by the Arbitration Court of the Estonian Chamber of Commerce and Industry under its rules, by a sole arbitrator, seated in Tallinn, in English. Either party may still ask a court for urgent interim relief to protect confidential information or intellectual property.

9. Term, and what happens on breach

This licence takes effect when you accept it and pay, and continues for as long as you comply with it. There is no renewal and no expiry.

Askara Solutions may end it on written notice if you materially breach it and do not put the breach right within thirty days of being told. If it ends, you must stop using the agent and delete your copies, using reasonable endeavours, which does not extend to backups that are not readily accessible or to copies held under a legal hold.

You keep everything you produced with it. Ending this licence does not affect those rights, and the obligation to delete does not apply to them.
